- Perform diligence analysis in the evaluation of acquisition targets
- Work with Board to analyze various sale, merger, or change-in-control options
- Research / identify best-suited investment bankers to assist in valuation and/or transaction
- Assist in preparation of diligence materials; define company’s “Story” for Offering Memorandum; thereby keeping management focused on running the business
- Assist in negotiation of deal terms, executing post-transaction transition, and synergy-capture to maximize any earn out provisions
